The Brandychase at Shepard Park owner’s Association was incorporated on August 13, 1982, under Chapter 317, which is the Minnesota Nonprofit Corporation Act. The Declaration was recorded on October 6, 1982, under the SISA Uniform Condominium Act (which has since been replaced by the Minnesota Common Interest Ownership Act.) Therefore your Association is governed by both Chapter 317A and 515B, as well as its governing documents, which are subordinate to those statutes.
Your Association functions as a representative democracy. The Board of Directors is given the responsibility and authority to make most of the operating decisions on behalf of the Association. However, it is the owners who elect the Board at the Annual Meeting and who have the power to remove Directors. This concept is similar to how most units of government operate and indeed is the principle on which our country was founded.
